These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "the user") and Tildai Tech (trading name, registration pending), a company based in Nairobi, Kenya ("we," "our," "us," or "Tildai Tech"), operating the ShiftManager platform.
ShiftManager is a web-based platform that enables individuals and businesses to manage work shifts, track earnings, and organise workplace schedules. It is available at https://shift.tildaitech.co.ke and through any associated applications.
By creating an account, accessing, or using ShiftManager, you confirm that:
If you do not agree to these Terms, you must not use ShiftManager.
These Terms are governed by Kenyan law and, for users in the European Economic Area, by applicable EU consumer protection legislation, including the Consumer Rights Directive (2011/83/EU), the Digital Content Directive (2019/770), and the Unfair Terms Directive (93/13/EEC). Where EU consumer law provides you with rights that cannot be waived by contract, those rights prevail over any conflicting provision in these Terms.

If we have reasonable grounds to believe that information you provided is inaccurate, incomplete, or fraudulent, we reserve the right to suspend or terminate your account and refuse any current or future use of ShiftManager.
If you lose access to your account, you can request a password reset via the email address associated with your account. We will verify your identity before restoring access. For security reasons, we cannot restore access to accounts where the registered email address is no longer accessible to you — in such cases, contact us at privacy@tildaitech.co.ke for assistance.

All prices on the Pricing page are displayed in USD and include any applicable taxes. The total price you will be charged is shown clearly before you confirm your purchase. We will support additional currencies in the future and will update our Pricing page accordingly.
We offer a 14-day free trial of paid features. During the trial period:
Paid plans are available on the following billing cycles:
Recurring subscriptions will automatically renew at the end of each billing period unless you cancel before the renewal date.
Payments are processed by Stripe (for card payments) and M-Pesa via Safaricom (for mobile money payments). Tildai Tech does not store your full card number or M-Pesa PIN. By subscribing, you confirm that you are authorised to use the payment method you provide.
If you are located in the European Economic Area, you have the right under the Consumer Rights Directive (2011/83/EU) to withdraw from a paid subscription within 14 calendar days of purchase, for any reason, and receive a full refund.
To exercise this right:
After withdrawal, your account will revert to the Free plan. Any data you entered during the paid period will be retained in your account. This right does not apply to the Free plan or after the 14-day period has elapsed.
EU users: You are entitled to a full refund within 14 days of purchase under the right of withdrawal described above. Outside the 14-day period, refunds are handled on a case-by-case basis at our discretion.
All other users: We do not offer automatic refunds for paid plans. However, if you believe you have been charged in error or experience a significant service issue, contact us at legal@tildaitech.co.ke and we will review your case within 7 business days.
Refunds for yearly or one-time plans, where granted, will be prorated based on the unused portion of the subscription period.
You can cancel your paid subscription at any time from your account settings. Upon cancellation:
If a recurring payment fails, we will notify you by email and attempt to charge your payment method up to 3 times over a 7-day period. If payment remains unsuccessful, your subscription will be downgraded to the Free plan. Your data will be retained — you will not lose any information due to a payment failure.
We will notify you by email at least 30 days before any price increase takes effect on your active subscription. If you do not agree with the new price, you can cancel before the new price takes effect.
If you are located in the European Economic Area, you have the right under the EU Data Act (Regulation (EU) 2023/2854) to switch to an alternative service provider. We will allow you to export all your data in JSON or CSV format at any time, will not impose switching fees or data transfer charges, and will process any termination request within the notice period required by law (maximum 2 months).
ShiftManager supports two categories of users:
Individual users — individuals who use ShiftManager independently to track their own shifts, earnings, and workplace schedules. Individual users pay for their own subscription (if applicable) and manage their own data.
Business users (companies and agencies) — organisations that use ShiftManager to manage employee scheduling, create workplaces, set pay rates, offer shifts, and approve or decline employee shift requests. Business users subscribe to a separate business pricing plan and pay on behalf of their employees. Employees associated with a business account are not charged individually for features provided through the business plan.
Each business account is managed by one or more authorised representatives (administrators) designated by the company or agency.

Free-plan users are subject to reasonable usage limits as specified on the Pricing page. Business plans have their own usage tiers. We reserve the right to enforce these limits to ensure fair access for all users.
If we determine that any user has violated this Acceptable Use policy, we reserve the right to issue a warning, temporarily suspend access, permanently terminate the account, remove or disable offending content, or report illegal activity to relevant authorities.
Where possible, we will notify the user and provide an opportunity to remedy the violation before taking action. However, we reserve the right to act immediately where the violation poses a risk to the security of the platform, the safety of other users, or involves illegal activity.
For business accounts, a violation by an authorised representative will be attributed to the business account holder. Suspension or termination of a business account does not automatically affect the individual personal accounts of employees associated with that business.
All intellectual property rights in ShiftManager, including the software, source code, algorithms, user interface, visual design, logos, trademarks, branding, and documentation, are owned by Tildai Tech or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use ShiftManager for its intended purpose in accordance with these Terms. This licence does not grant you any right to copy, modify, or create derivative works, use our trademarks without consent, or sublicense, sell, or distribute access to ShiftManager.
ShiftManager is built using open-source software components (including Django, licensed under the BSD licence). Our use of open-source components does not affect your rights under these Terms or grant you additional rights to our proprietary code.
Individual users: You retain full ownership of all personal data and content you enter into ShiftManager, including shift records, workplace names, pay rates, earnings data, notes, and templates.
Business users: The company or agency retains ownership of organisational data it creates, including workplace profiles, pay rate structures, shift offers, and scheduling templates. Shift records that involve both a business and an employee are jointly owned — both retain access to and rights over the shared shift history, even after the relationship ends.
By using ShiftManager, you grant Tildai Tech a limited, non-exclusive, royalty-free licence to store, process, and display your content solely to provide, maintain, and improve the ShiftManager service, and to create anonymised, aggregated statistics that cannot be linked back to you (consistent with our Privacy Policy, Section 6.3).
This licence is purpose-limited (only for providing ShiftManager), duration-limited (continues while your account is active and terminates when your content is deleted), revocable (by deleting your account), and non-sublicensable (except to our data processors solely for hosting and delivering the service).
You are solely responsible for all content you enter into ShiftManager. You represent and warrant that you have the right to use the content you provide, it does not infringe any third party's rights, and it does not contain unlawful, defamatory, or offensive material.
If you provide us with feedback, suggestions, or ideas for improving ShiftManager, you grant us an unrestricted, irrevocable, worldwide, royalty-free licence to use, modify, and implement that feedback without any obligation to you. This does not apply to your personal data, which remains governed by our Privacy Policy.
Your use of ShiftManager is governed by our Privacy Policy (https://shift.tildaitech.co.ke/privacy/), which is incorporated into these Terms by reference. By agreeing to these Terms, you also acknowledge and accept the Privacy Policy. In the event of a conflict between these Terms and the Privacy Policy on a matter of data protection, the Privacy Policy prevails.
As described in our Privacy Policy (Section 8), you have the right to access, rectify, export, restrict, object to the processing of, and request deletion of your personal data. You can export your data in JSON or CSV format at any time. These rights are enforceable under these Terms.
When you use ShiftManager as an individual user, Tildai Tech is the data controller for your personal data.
When a company or agency uses ShiftManager to manage employee shifts:
Business users agree that they have a lawful basis for any employee personal data they process through ShiftManager, will comply with all applicable data protection obligations as a data controller, will not use ShiftManager to process special category data about their employees, and are responsible for responding to data subject rights requests relating to data they control.
Upon request, Tildai Tech will enter into a Data Processing Agreement (DPA) with business users in accordance with Article 28 GDPR and Section 31 of the Kenya DPA.
When your account is terminated, your data is handled in accordance with our Privacy Policy (Section 6: Data Retention). Personal data is deleted within 30 days, payment records are retained for 5 years as required by tax law, and anonymised aggregated data is retained indefinitely.
These commitments are contractual terms, not aspirations:
We strive to keep ShiftManager available 24/7. However, the service may be temporarily unavailable due to planned maintenance (at least 24 hours' notice provided), unplanned outages, or force majeure events (see Section 12). We do not offer a specific uptime guarantee at this time.
If you are a consumer in the European Economic Area, the EU Digital Content Directive (2019/770) provides you with statutory guarantees. ShiftManager will conform to the contract description, be fit for its intended purpose, receive necessary updates (including security updates), and will not have its functionality reduced without your informed consent.
If ShiftManager does not conform to the guarantees above, you are entitled to:

For users not in the EEA, and for business users regardless of location (to the extent permitted by applicable law), ShiftManager is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This disclaimer does not affect any rights you may have under mandatory consumer protection laws in your country of residence.
ShiftManager is a personal productivity tool for tracking shifts and estimating earnings. It is not a payroll system, accounting tool, or tax reporting service. Earnings calculations are based entirely on the data you enter — we perform mechanical arithmetic on your inputs and do not verify their accuracy.
You are responsible for verifying all calculated earnings against your employer's official records. ShiftManager should not be used as the sole basis for tax filings, legal claims, wage disputes, or financial decisions. For business users, ShiftManager is a scheduling tool — it is not a payroll processing system.
Tildai Tech is not liable for any financial loss, underpayment, overpayment, tax liability, or employment dispute arising from reliance on ShiftManager's calculations or data.
For all users: To the maximum extent permitted by applicable law, Tildai Tech's total aggregate liability for all claims arising out of these Terms or your use of ShiftManager is limited to the greater of: the total amount you paid to Tildai Tech in the 12 months preceding the event giving rise to the claim, or USD 50 (for free-plan users).
For all users: To the maximum extent permitted by applicable law, Tildai Tech will not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; damages arising from reliance on ShiftManager's calculations; damages from unauthorised access caused by your failure to secure credentials; or damages arising from third-party services (Stripe, M-Pesa, StatCounter, Truehost).
Nothing in these Terms excludes or limits our liability for:
If you are a consumer in the EEA, the limitations in this section apply only to the extent permitted by applicable EU consumer protection law. Your statutory rights under the Consumer Rights Directive, Digital Content Directive, and Unfair Terms Directive are not affected. Where any limitation conflicts with your mandatory consumer rights, your consumer rights prevail.
Business users agree to indemnify, defend, and hold harmless Tildai Tech from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: violation of these Terms; violation of applicable law including data protection law; processing of employee personal data in violation of applicable law; or any claim by a third party (including employees) arising from the business user's use of ShiftManager.
This indemnification obligation does not apply to individual consumer users.
Individual users: You can cancel your subscription and/or request account deletion from your account settings or by emailing privacy@tildaitech.co.ke. Before deletion, we recommend exporting your data. Upon deletion, your personal data will be permanently removed within 30 days, subject to the retention periods in our Privacy Policy (Section 6).
Business users: An authorised representative can close the business account by contacting legal@tildaitech.co.ke. Individual employee accounts are not deleted — employees retain their personal accounts and their copy of shared shift history. Any remaining prepaid subscription will be refunded on a prorated basis.
We reserve the right to temporarily suspend your access if we reasonably believe you are violating these Terms (and the violation can be remedied), we detect suspicious account activity, or your payment fails. We will notify you by email stating the reason, your data will be preserved, and you will have a reasonable opportunity to remedy the issue.
We reserve the right to permanently terminate your account if you commit a serious or repeated violation not remedied after warning, engage in fraudulent or illegal activity, pose a security risk, or your account remains inactive for 24 consecutive months (with 30-day advance warning per our Privacy Policy, Section 6.2).
Upon termination, we will notify you by email and give you 14 days to export your data before permanent deletion (except in cases of fraud or illegal activity requiring immediate action). If termination is due to our decision and not your violation, we will refund the unused subscription portion. If due to your violation, no refund will be issued.
If a business account is terminated, individual employee accounts are not affected. Employees retain their personal accounts and shared shift history. The business loses access to organisational data upon termination.
If we discontinue ShiftManager entirely, we will notify all users at least 90 days in advance by email. The service will continue operating during the notice period. Users will be encouraged to export their data. All paid subscriptions will be refunded on a prorated basis.
If you believe your account was suspended or terminated in error, email legal@tildaitech.co.ke with the subject line "Account Appeal." We will review your case and respond within 14 days. During the appeal period, any scheduled data deletion will be paused.
The following sections survive termination: Section 5 (Intellectual Property), Section 6 (User Data and Privacy), Section 8 (Disclaimers and Limitation of Liability, including Indemnification), and Section 11 (Dispute Resolution and Governing Law).
We update these Terms when necessary to reflect changes in our services, legal requirements, or business practices. When we do, we will update the "Last updated" date.
Corrections, clarifications, or changes that do not affect your rights or obligations: updated on this page with no separate notification.
Changes affecting your rights, obligations, pricing, liability, dispute resolution, or data handling. For material changes, we will notify you by email at least 30 days before the changes take effect, clearly describe what is changing and why, and post a prominent notice on the platform.
If you disagree with a material change, you can contact us, cancel your subscription, and/or delete your account before the changes take effect, without penalty. Paid users who leave due to a material change will receive a prorated refund.
Continued use after the effective date indicates acceptance. For EU consumers, material changes that reduce statutory rights will not be applied without your explicit consent.
These Terms are governed by the laws of the Republic of Kenya, including the Data Protection Act No. 24 of 2019 and the Consumer Protection Act, 2012.
If you are a consumer in the EEA, nothing in these Terms deprives you of the protection of the mandatory consumer protection laws of your country of residence. You retain the right to bring proceedings in the courts of the EU Member State where you reside (Article 18, Regulation (EU) No 1215/2012, the Brussels I Regulation).
Before initiating formal proceedings, we encourage you to contact us at legal@tildaitech.co.ke. We will acknowledge your complaint within 7 days and aim to propose a resolution within 30 days.
If informal resolution is unsuccessful:
We do not require individual consumers to submit to binding arbitration. Consumer disputes will be resolved through the courts.
Business disputes not resolved informally will proceed to mediation through a mutually agreed mediator. If mediation fails within 60 days, either party may submit the dispute to the competent courts of Nairobi, Kenya.
EU consumers may also use the European Commission's Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr/
Any claim arising from these Terms must be brought within 2 years of the date the cause of action arose, unless applicable mandatory law provides a longer period.
If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed. The remaining provisions continue in full force. If any term is found unfair under the Unfair Terms Directive (93/13/EEC), only that specific term is affected.
Tildai Tech will not be liable for any failure or delay resulting from circumstances beyond our reasonable control, including natural disasters, epidemics, war, government action, power outages, internet failures, cyberattacks, or failure of third-party providers. If a force majeure event continues for more than 60 days, either party may terminate these Terms with a prorated refund for paid users.
These Terms, together with our Privacy Policy and any Data Processing Agreement with business users, constitute the entire agreement between you and Tildai Tech regarding ShiftManager. They supersede all prior agreements, representations, and understandings.
You may not assign your rights under these Terms without our written consent. Tildai Tech may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to be bound by these Terms. We will notify you of any such assignment.
Our failure to enforce any right or provision does not constitute a waiver. Any waiver must be in writing.
Notices to you will be sent to your registered email. You are responsible for keeping your email current. Notices to Tildai Tech should be sent to legal@tildaitech.co.ke, privacy@tildaitech.co.ke (data protection), or eu-privacy@tildaitech.co.ke (EU matters).
These Terms are drafted in English. If translated, the English version prevails in case of conflict.
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. You and Tildai Tech are independent contracting parties.
